General Terms and Conditions (GTC)

Here you will find our General Terms and Conditions. They set out the rights and obligations that apply when using La Bolde Vita and our services – either as a consumer or a business. We tried to formulate them as clearly and concisely as possible so that you know exactly how we work together and what you can expect.

  1. Scope and Contracting Parties

1.1

These General Terms and Conditions (“GTC”) apply to all contracts concluded via our online shop between us, La Bolde Vita/Fabian Dornhecker (“Seller”), and the purchaser (“Customer”) for the purchase and licensing of digital font software (“Font Software”).

1.2

The Customer may be:

  • Business Customer (B2B): a natural or legal person or partnership with legal capacity acting in the exercise of their commercial or independent professional activity (§ 14 BGB).

  • Consumer (B2C): any natural person entering into a transaction for purposes that are predominantly outside their trade, business or profession (§ 13 BGB).

1.3

For B2B-only transactions, the Customer must confirm during checkout that they are acting as an entrepreneur.

1.4

Deviating or conflicting terms of the Customer shall not apply unless expressly accepted by us in writing.

  1. Conclusion of Contract

2.1

Product listings in the online shop are non-binding invitations to place an order.

2.2

By placing an order, the Customer submits a binding offer to conclude a contract.

2.3

The contract is concluded when we make the Font Software available for download.

2.4

The End User Licence Agreement (EULA), available at www.laboldevita.com, is an integral part of every purchase. Acceptance of the EULA during checkout is a prerequisite for the conclusion of the contract and the granting of any licence rights.

  1. Prices and Payment

3.1

All prices are net prices, plus VAT, where applicable. The final gross prices are calculated after all customer data has been entered at checkout.

3.2

International B2B sales within the EU may be invoiced without VAT under the reverse charge mechanism, provided a valid VAT ID is supplied.

3.3

Payments may be made via the payment methods shown in the shop. Any bank or transfer fees, especially for international transfers, are borne by the Customer.

3.4

The purchase price depends on the selected Company Size and Range of Use (Basic or Extended), as defined in the EULA. If the Customer’s company size exceeds the licensed tier for more than six consecutive months, an upgrade to the correct tier is required in accordance with the EULA.

  1. Delivery of Digital Content

4.1

The Font Software is delivered digitally via a download link.

4.2

The link will be provided after payment has been authorised and the EULA has been accepted.

4.3

File formats supplied are as specified in the EULA (.otf, .woff2, and .ttf for variable fonts), with certain formats restricted for specific uses (e.g., .woff2 for web).

  1. Right of Withdrawal (Consumers only)

5.1

Consumers have a statutory right of withdrawal under EU law.

5.2

Exception for digital content: The right of withdrawal expires if:

  • We have begun providing the Font Software by enabling the download, and

  • The Consumer has expressly agreed before purchase completion that we may begin performance immediately and has acknowledged that this causes the loss of their withdrawal right.

5.3

The statutory right of withdrawal for consumers shall expire in the case of a contract for the supply of digital content not supplied on a tangible medium if we have begun execution of the contract after you have expressly agreed to this and acknowledged that you thereby lose your right of withdrawal once delivery has begun.

  1. Licence Grant and Use Rights

6.1

Upon full payment, we grant the Customer a non-exclusive, non-transferable licence to use the Font Software strictly in accordance with the EULA.

6.2

The EULA defines:

  • Licence types (Commercial, Non-Profit, Student, Trial, Custom)

  • Company Size tiers and upgrade obligations

  • Basic and Extended ranges of use

  • Subcontractor rules and

  • General restrictions, including prohibited contexts and technical limitations

6.3

The Customer acknowledges that the EULA governs all usage rights and restrictions. Any use beyond the EULA’s scope requires a new licence.

  1. Guarantee, Updates, and Defects

7.1

For Consumers: statutory guarantee period of two years from delivery applies.

7.2

For Business Customers: guarantee period of one year from delivery applies.

7.3

We will provide updates or improvements to the Font Software in line with our obligations under § 327f BGB and as further detailed in the EULA.

7.4

If a replacement is supplied, the Customer must delete all defective copies and destroy backups, as per the EULA.

  1. Liability

8.1

Our liability is as set out in the EULA:

  • Unlimited liability for intent and gross negligence

  • Limited liability for simple negligence to breaches of essential contractual obligations and foreseeable damages

  • No liability for indirect, consequential, or incidental damages, except where required by law

8.2

The above does not affect liability for injury to life, body, or health, or under the Product Liability Act.

  1. Governing Law and Jurisdiction

9.1

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

9.2

For Business Customers: exclusive jurisdiction is Leipzig, Germany.

9.3

For Consumers: statutory jurisdiction rules apply.

  1. Final Provisions

10.1

If any provision of these GTC is invalid, the remaining provisions shall remain in effect.

10.2

The EULA forms an inseparable part of the contractual agreement and, in case of conflict between the GTC and the EULA regarding licence terms, the EULA shall prevail.
